By accessing or using the Site or purchasing or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or purchase our Services.

1. Agreement to Terms

By visiting the Site, purchasing a digital product, creating an account, or accessing any content, you:

• Confirm that you are at least the age of majority in your jurisdiction, and

• Agree to be legally bound by these Terms and by any additional terms specific to a particular product or program (collectively, the “Agreement”).

If you do not agree, do not access or use the Site or any Services.

2. Definitions

For purposes of these Terms:

• “Digital Products” include, but are not limited to: guides, ebooks, templates, worksheets, courses, membership content, and any other downloadable or streaming content delivered electronically.

• “Services” include Digital Products and any related online services, communities, or memberships provided by North Star Learning.

• “You” / “User” / “Customer” means any person who visits the Site, accesses content, or purchases our Services.

3. Use of the Site

You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Site or Services for any unlawful purposes or to solicit others to perform or participate in any unlawful acts;

• Attempt to gain unauthorized access to any portion or feature of the Site or to any systems or networks connected to the Site;

• Interfere with or circumvent the security features of the Site or Services;

• Share, repost, or redistribute any Digital Products or course content in any way that allows access by individuals who have not purchased their own license;

• Claim ownership or authorship of any content created by North Star Learning.

We grant you a limited, non-exclusive, non-transferable license to access and use the Digital Products you purchase for your personal, non-commercial use only, subject to these Terms and any additional terms accompanying the specific product.

5. Digital Products: License and Access

When you purchase a Digital Product or enroll in a course or membership:

• You are purchasing a single-user, personal license to access the content.

• You may download content for your own use (where permitted), but you must not share login details, files, PDFs, videos, or other materials with anyone else.

• You may not upload any content from the Services to file-sharing sites, social media, or other platforms, or otherwise make it available to third parties.

Access periods (e.g., lifetime access, one-year access, or membership access while subscription is active) will be specified on the sales page or checkout page for each product or program. We reserve the right to update or modify content within the Services at any time.

6. Orders and Payment

By placing an order on the Site, you agree that:

• All information you provide (including billing information) is current, complete, and accurate;

• You are authorized to use the payment method you provide;

• You will pay all charges associated with your purchase, including applicable taxes.

Currency:
Unless otherwise stated, all prices are listed in USD (United States Dollars).

Payment Processing:

Payments are processed via third-party payment processors. We do not store complete credit card numbers and are not responsible for any errors, delays, or issues caused by such third parties.

7. Subscriptions, Memberships & Payment Plans

For memberships, subscriptions, or payment plans:

• Your card or payment method will be charged automatically according to the billing frequency shown at checkout (e.g., monthly, annually, or by installment).

• You authorize us and/or our payment processor to continue charging your payment method until you cancel or complete the agreed-upon payment schedule.

• If your payment is declined, we may attempt to recharge and/or suspend your access to the Services until payment is successfully processed.

You are responsible for updating your billing information and cancelling before the next billing date if you no longer wish to continue.

8. Refunds and Cancellations

Digital Products:
Due to the nature of digital products and immediate access, all sales are final and non-refundable, except where explicitly stated otherwise on the product’s sales page.

Memberships / Subscriptions:
You may cancel your membership or subscription at any time. However:

• Cancellation stops future payments; it does not entitle you to a refund for past payments.

• It is your responsibility to cancel before your next billing date to avoid additional charges.

To cancel, email us at melanie@northstarlearning.co or follow the cancellation instructions provided in your account or confirmation emails. A cancellation confirmation will be sent within a reasonable time during business hours. If you do not receive confirmation, you are responsible for following up to ensure we received your request.

Chargebacks:
You agree not to initiate chargebacks without first contacting us to resolve any issues. If you initiate a chargeback, we reserve the right to restrict your access to current and future products and to pursue amounts owed, including any associated fees.

9. HST for Canadian Customers

For Canadian customers, HST (Harmonized Sales Tax) may be applicable. Where HST is not automatically collected at checkout, a separate HST invoice may be sent and is due upon receipt. You agree to pay all applicable taxes as required by law.

10. Personal Data & Privacy

We collect, use, and protect your personal data in accordance with our Privacy Policy, which forms part of this Agreement.

By using the Site, purchasing a product, or entering your email address or personal information, you consent to:

• Our collection and use of your information as described in the Privacy Policy; and

• Receiving emails from North Star Learning, including but not limited to transactional emails, product updates, and marketing communications.

You may unsubscribe from marketing emails at any time by clicking the “unsubscribe” link at the bottom of our emails. Unsubscribing from marketing does not remove you from essential transactional emails related to purchases or account activity.

11. No Medical, Legal, Financial, or Mental Health Advice

Some of our Digital Products may relate to sensitive topics, including (without limitation) fertility, family planning, parenting, personal development, or financial literacy. All content provided through the Site and Services is for informational and educational purposes only.

Nothing on the Site or in the Services should be interpreted as:

You understand and agree that:

You agree that North Star Learning is not responsible for your actions or results.

Our Site may contain links to third-party websites, products, or services that are not owned or controlled by North Star Learning. We:

• Do not endorse or assume responsibility for any third-party content, websites, policies, or practices;

• Are not responsible for any damage or loss caused by or in connection with use of any third-party site or service.

We may also provide access to third-party tools “as is” and “as available” without warranties. You use any such tools at your own risk and discretion.

14. Limitation of Liability

To the maximum extent permitted by law:

• North Star Learning, its owners, directors, employees, contractors, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses arising out of or relating to your use of (or inability to use) the Site or Services.

• Our total liability for any claim arising out of or relating to the Site or Services shall not exceed the amount you paid to us for the specific Service giving rise to the claim.

Some jurisdictions do not allow the limitation or exclusion of certain damages, so portions of this section may not apply to you. In such cases, our liability shall be limited to the fullest extent permitted by law.

• If informal resolution is not possible, disputes shall be submitted to the courts located in Toronto, ON, and you consent to the exclusive jurisdiction and venue of such courts.

We may update or modify these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page.

• Material changes will, where required by law, be communicated to you by reasonable means (e.g., via email or notice on the Site).

• Your continued use of the Site or Services after such changes constitutes your acceptance of the updated Terms.

If you do not agree with the revised Terms, you must stop using the Site and Services.
